Business For Sale versus Lease Assignment for Sale

Whether you are the Buyer or Seller, when considering the purchase or sale of a business, it is essential that you understand options that are available and in alignment with your goals.  For example, if the location of the "Business For Sale" is a key component to sale, consider that a Commercial Lease Assignment may be preferred over a full Business Purchase and Sale Agreement (whether for assets and/or stock).  

Here are some questions that will help determine options available to you:

  • Do you want to use the trademark(s) of the seller?
  • If so, is the trademark registered? Is there goodwill and reputation associated with the trademark?
  • Do you plan to engage in the same business or only a similar business?
  • Do you want the physical assets, such as equipment, to be a part of the sale?
  • Do you want the leads, customer and vendor databases of the Seller to be a part of the sale?
  • Does the Seller own or lease the property where you want to operate the business? 
  • Is there inventory that you want to purchase from Seller?
  • Is the location currently licensed for the business purpose that you want engage in?
  • Will the Seller compete with your business after the sale?

It is important that both the Seller and the Buyer understand the options available.  Whether you are the Buyer or the Seller, it is best to seek advice from a competent business lawyer, with regard to your specific goals and expectations.  Use the business lawyer as your personal compass, to guide you through the transaction, to reach your intended goals.
