Starting a business can feel overwhelming at times. The proper guidance and support can help you gain a better perspective and organize the necessary steps.  Below is a checklist of various issues to consider when starting a new business.

  1. Gather your TEAM of professionals (legal, tax, etc.).

  2. Consider entering a Joint Venture Agreement (agree upon the Duties and Responsibilities of Participants).

  3. Establish a Separate Entity (e.g., corporation or LLC for personal asset protection.

  4. Obtain Bylaws, Shareholder Agreement or Operating Agreement.
  5. Open a separate bank account for the business.

  6. Obtain necessary Business Certificates, if applicable.

  7.  Confirm which Business Licenses and Permits are applicable and what the requirements are.

  8. Have your Commercial Lease reviewed for legal issues.

  9. Post Employer Posters that are Required by Law.

  10. Obtain proper Insurance coverage.

  11. Register with State for Sales and Use Tax, etc.

  12. Establish Payroll System.

  13. Register and give notice of claims to Trademark.

  14. Copyrights notice and registration

  15. Patent registration, if applicable.

  16. Website Compliance, for example, utilize comprehensive Terms of Use, Privacy Policy, Copyright Infringement Warning, etc.

  17. Agreements (e.g., Web site Designer and logo Agreements, Distributorship Agreement, etc.)

  18. Confirm what needs to be done for Immigration Law Compliance.

This is not an exclusive complete list.  Consult legal and tax professionals with regard to your specific business endeavor.
